RESOLUTION AUTHORIZING AN AMENDMENT TO THE
PROFESSIONAL SERVICES AGR�EMENT BETWEEN THE CITY OF
FAIRFAX AND HALL & HALL ENGINEERS, INC. FOR THE
PAINTING,IVIAINTENANCE ANll REPAIRS OF THE ELEVATED
WATER STORAGE TANK
WHEREAS, the City Council of Fairfax, Iowa has a previously approved a Professional
Services Agreement (Resolution No. 2023-55) with Hall & Hall Engineers, Inc. to provide
construction engineering services for the Paintin�, Maintenance and Repairs of the Elevated
Water Storage Tank; and
WHEREAS, Hall & Hall Engineers, Il1c. has submitted an Ainendinent to the
Professional Services Agreeinent for additional visits needed to perfoi-�n construction
observation of the Contractor's remaining work.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Fairfax,
Iowa, to enter into this Amendinent of the Professional Services Agreeinent with Hal1 & Ha11
Et7gineers, Inc. as attached.
BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax,
Iowa, that the Mayor and City Clerk/Treasurer are hereby authorized and directed to execute
both this resolution and the amended Professional Services Agreement.

PROFESSIONAL SERVICES AGREEMENT
AMENQMENT NO. 1

Construction Engineering Services /or the Painting, Maintenance & Repairs of the Elevated Water Storaqe Tank
Fairfax, lowa
This Amendment is made on the 9th day of April, 2024 between the City of Fairfax (hereinafter referred to as "OWNER")
and Hall and Hall Engineers, Inc. (hereinafter referred to as "ENGINEER").
The OWNER and the ENGINEER agree to amend the scope of services as indicated in the original Professional Services
Agreement as follows:
The OWNER and the ENGINEER agree to amend the compensation paid to the ENGINEER for providing the scope of
services as shown in the original agreement, and previously approved amendments, as follows:
Original Agreement = $82,400.00
Amendment No: 1 = $24,750.00
Revised Agreement = $107,150.00
This Amendment is subject to all the terms and conditions of the original Professional Services Agreement. Upon execution
of this amendment, this document shall become part of the original Professional Services Agreement as if bound therein,

a. Amend the agreement for additional visits needed to perform construction observation of the Contractor's
remaining work. The original scope of services for construction observation was based on the Contractor
reaching substantial completion of the work by October 20, 2023, and reaching final completion within 30
days thereafter, as specified in the Contract Documents, The Contractor did not meet these completion
dates; thus, requiring additional visits to observe their remaining work.
