RESOLUTION AUTHORIZING AN AMENllM�NT TO TIIE
PROFESSIONAL SERVICES AGR�EIVIENT BETWEEN THE CITY OF'
FAIRFAX AND HALL & HALL ENGINEERS, INC.
WHEREAS, the City Council of Fairfax, Iowa has a previously approved a Professional
Services Agreement (Resolutioi7 No. 2023-88) with Hall & Hall Engi�lecrs, Inc. to provide
engineei-ing design services for the W. Ceineteiy Road Brid�e Replacement over Oscar Creek;
and
WHEREAS, Hall & Hall Engineers, Inc. l�as submitted an Amendinent to the
Professional Services Agreement to provide additional sErvices to complete a historical bridge
assessment.
NOW, THEREFORE, BE IT RESOLVED, by the City Cou�zcil of the City of Fairfax,
Iowa, to enter into this An7endsnent of the Professional Services Agreement with Hall & Hall
Engineers, Inc. as attached.
BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax,
Iowa, that the Mayor and City Clerk/Treasurer are hereby authorized and directed to execute
both this resolution and the amended Professional Services Agreement.

PROFESSIONAL SERVICES AGREEMENT
AMENDMENT NO. 1
Hall & Hali Project No. 6950-23-03
2023 W. Cemetery Road Bridge Replacement (Design Services)
This Amendment made on the 24th day of June, 2024 befinreen the City of Fairfax (hereinafter referred to
as "OWNER") and Hall and Hall Engineers, Inc. (hereinafter referred to as "ENGINEER").
The OWNER and the ENGINEER agree to amend the scope of services as indicated in the original
Professional Services Agreement and previousiy approved amendments, as fallows:
Amend the engineering services agreement for additionai work provided by Impact 7G, a sub-
consultant to ENGINEER, to complete a Historical Bridge Assessment for the existing W.
Cemetery Road bridge. Per lowa DOT I. M. No. 4.120, dated Jan. 19, 2024; It will be necessary
to complete either a Historical Bridge Assessment or an Intensive Historical Evaluation for
bridges 45 years in age and older. Currently, both of the previous statewide historic bridge
surveys are out oF date, and not being accepted by lowa SHPO. The Historical Bridge �,
Assessment or an intensive Historicai Evaluation for bridges 45 years in age and older is
necessary to obtain NEPA clearance, which is a requirement for Federally funded projects.
Therefore, the City would have to either:
➢ Wait for the State to complete the Historical Bridge Assessments / Intensive Historical
Evaluatfons for all bridges 45 years in age and older through out the State of lowa, which
is anticipated to be compieted sometime in 2025 or 2026; or
➢ Hire a Secretary of the Interior qualified architectural historian (Impact7G) to complete the
Historical Bridge Assessment.
SERVICE AMOUNT
Additional work associated with preparinq the Historical Bridae Assessment $4,000.00
Proposed Additional Services Total �$4,000.00
The OWNER and the ENGINEER agree to amend the compensation paid to the ENGINEER for providing
the scope of services as shown in the original agreement, and previously approved amendments, as
fol lows:
Total Service per the Original Agreement $221,300.00
Proposed Totai for Additional Services $4,000.00
Proposed Total for the Amended Agreement $225,300.00
This Amendment is subject to all the terms and conditions of the originaf Professional Services Agreement.
Upon execution of this amendment, this document shall become part of the original Professianal Services
Agreement as if bound therein.
