A RESOLUTION TO ENTER INTO AN AGR�EMENT
WITH OPN ARCHITECTS
WHEREAS, the City of Fairfax's Library Board of Trustees llas approved to l�ii-e OPN
Architects to work on a project for the Fairfax Public Library; and
WHEREAS, the City Council of City of Fairfax, Iowa, has added this project in the FY25
Budget; and
WHEREAS, OPN Architects has submitted a Professional Service Agreement to the City
of Fairfax for this work for $24,500.00 for the services.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Faii-fax,
Fairfax, Iowa, that they approve entering into this Professional Service Agreement with OPN
Architects.
SE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax, Iowa,
that the Mayor and City Clerk/Treasurer are hereby directed to certify this resolution of approval.

Professional Service Agreement - OPN Architects
City of FairFax:
OPN Architects is pleased to provide this summary of professional design services for
Schematic Design Services for Fairfax Public Library.
Project Criteria
Based upon conversations with the City of Fairfax and key stakeholders, we have
developed our scope of services and preliminary fees upon the understanding that the
goal of the project is to create additional capacity for collections, community space,
children's program space and study rooms, to ultimately, make the FairFax Public Library
a destination for all Fairfax residents.

Project's Physical Characteristics: Single Floor Addition and interior remodel of existing
building for a total of 8,650 SF
Project Team
This proposed contract includes the services of:
• OPN Architects
This proposed contract does NOT include the services of:
• MEP/S: Mechanical, Electrical, Plumbing and Structural
• Cost Estimating by a third party
• Visioning meeting to discuss and align project goals and vision
• Programming - identify building spaces and size requirements
• Create 3D Revit model of existing Library
• Create 3D Revit model of surrounding neighborhood for site context

• Concept design floor plan studies
• Conceptual shelving capacity diagram
• Conceptual shelving layout
• Concept design interior 3-d studies
• Concept design exterior 3-d studies

Meetings
The proposed scope and deliverables will include four to six owner-architect meetings.
Deliverables are to be used for project fundraising.
Compensation
The professional fee for developing the scope of services outlined in this proposal will
be a lump sum fixed fee of $24,500.
This fee will cover services and activities required to accomplish the scope of work over
an eight-week period, concluding at the end of September.
The project will be invoiced monthly as a percentage of work completed and
commensurate with the work plan schedule. Any services if required beyond those
described within the Agreement will be reviewed with the client to understand impact
to scope of work or related fees.
Contract Agreement
This Letter of Proposal is a contract between the undersigned Owner and Architect.
Under copyright law, the architect who prepares the architectural plans and drawings,
including the renderings, is considered the author and owner of the copyright in those
plans or drawings. In the event that OPN is unable, or unwilling to serve as the
Architect of Record (when the fundraising is complete and the project moves forward),
OPN will agree to allow the City of FairFax to "own the deliverables" and use the
design without copyright infringement.
