Home My WebLink AboutRESOLUTION NO. 2024-96RESOLUTION NO. 2024-96 A RESOLUTION APPROVING TWO MAINTENANCE AGREEMENTS WITH ADVANCED BUSINESS SYSTEMS WHEREAS, the City of Fairfax has seven printers currently covered by a Maintenance Agreement with Advanced Business System; and WHEREAS, Advanced Business Systems has submitted revised Maintenance Agreements for these seven printers. NOW, THEREFORE, BE IT RESOLVED, the City of Fairfax approves entering into these revised Maintenance Agreements with Advanced Business Systems. BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax, Iowa, the Mayor and City Clerk/Treasurer are hereby authorized and directed to execute said Resolution. ABS will provide the following maintenance service from the effective date shown, foilowing acceptance of this agreement upon fhe terms and conditions below. 1. ABS will provide all necessary scheduled service and emergency service as reasonable requested by ihe customer 2. There will be no additional charge for normal replacement parts and labor. Staples are chargeable. Shipping charges (UPS or other carrler) are chargeable. 3, Service is to be pertormed during nortnal working hours Nortnal working hours are deFined to mean 8 a.m. to 5 p.m., Monday through Friday, exclusive ofholidays. 4, ABS shall not be responsible for delays or inabilfty to prouide service due to strikes, accidents, embargoes, acts of God, or any event beyond its control. 5. This agreement is not assignable or transferable and does not include ABS personnel replacing toner, toner collection containers, accessories, or overhauls. Any loss or damage due to abuse, accideni, misuse, neglect, theft, vandallsm, electrical power surge, spikes, fluctuations of or power failure, acts of third part(es, or from fires, casualty or any natural force is specifically excluded from this agreement 6. This agreement shall 6e considered automatically renewed annually from install date subjact to price change by ABS. Due to cost increases; Advanced Business Systems may increase the price of subsequent renewals of this agreement. 7. This agreement shall be considered in effect forthe tertn listed below beFore this agreement is eligible for cancellation by the purchaser. Cancellation is required by a written notice within 30 days of the eligible date. A8S may cancel this agreement without notice i(the customer's account owing to ABS is past due or customer declares bankruptcy or otherwisa fafls to comply with the terms of this agreement. if the customar cancels this egreement, any consumahiE ltems, not limited to but including toner, developer, dnams and heater rollers, that have been raplaced and thelr ylelds not met billed for in the contract charges wiil he pro-rated and billed to the customer. In the event the service contract does not include a monthly base, the amount due wili be the previous six-monih average monthly invoice muNiplied by the remalning months of the tsrm. 8. The use of paper and supplies not recommended by or meeting manufacturer specifications may create problems requiring frequent servicing. ABS cannot guarantee to provide service under these circumstances and they reserve the right to cancel this Full Service Ma(ntenance Agreement with a refund for the remaining contract period. The customer is also responsible to provide proper eleclricity that meets equipment specificatlons. 9. Customer shall pay all sales taxes or any other tax imposed by any governmen4 authority based on the charges under this agreement. 10. Customer agrees to provide the equlpment's meter reading to ABS o� a monthly basis at such time and manner as ABS may reasonaUle request. Customer agrees to pay the total meter charge per copy multiplied by the number of copies made during the monthiy period, but not less than the minimum monthly hilling shown below, if any. 11. Service contracts that apply to connected digitai equlpment, cover intemal parallel and network cards. This contract excludes maintenance and troubleshooiing of external cabling, phone lines, printer drivers, and software eompatibility problems. 12 Customer agrees to pay supply delivery freight charges. l,IMITED RBPlACEMfNT WARRAN7Y L If dudng the Initial term of this agreement the Company, in its sole judgment, cannot maintain the equipment in good working order, the Company shall replace the equipment with another unit in good working order of the same general product designation subject to substitution according to the product avaitability. If a repiacement unit of the same designation is, for any reason no langer available, the replacement unit may be a product of substantielly similar capabilities as the original equipment. 2. The above mentioned replacement warranty shall be considered void if the equipment has been operated at eny time utilizing toner, developer, o fusing oil which has not been obtained from Advanced Business Systems, or which has not been approved by the company, in writing as suNable for usage with this equipment_ ��R._P.USN Service contract begins Dec / 2024 and ends Aug /2026.
