RESOLUTION AUTHORIZING AN AMENDMENT TO THE
PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF
FAIRFAX AND HALL & HALL ENGINEERS, INC.
WHEREAS, the City Council of Fairfax, Iowa has a previously approved a Professional
Services Agreement (Resolution No. 2022-91) with Hall & Hall Engineers, Inc. to provide site
surveying, civil design engineering, public bidding, and construction engineering services for
the proposed Well located on the Bellon-Africa property, as well as planning and preliminary
engineering services for the proposed water supply treatment facilities of said Well; and
WHEREAS, Hall & Hall Engineers, Inc. has submitted Amendment No. 1 to this
Professional Services Agreement to provide additional sub-consulting engineering services for
the proposed Well located on the Bellon-Africa property, as well as additional sub-consulting
engineering services for the planning and preliminary engineering for the proposed water
supply treatment facilities for said Well.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Fairfax,
Iowa, to enter into this Amendment of the Professional Services Agreement with Hall & Hall
Engineers, Inc. as attached.
BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax,
Iowa, that the Mayor Pro Tempore and City Clerk/Treasurer are hereby authorized and directed
to execute both this resolution and the amended Professional Services Agreement.

PROFESSIONAL SERVICES AGREEMENT
AMENDMENT NO. 1
Hall & Hall Project No's. 6950-22-07 & 6950-22-09
Well & Water Supply Treatment Project — Fairfax, lowa
This Amendment made on the 21 st day of March, 2023 between the City of Fairfax (hereinafter referred to as
"OWNER") and Hall and Hall Engineers, Inc. (hereinafter referred to as "ENGINEER").
The OWNER and the ENGINEER agree to amend the scope of services as indicated in the original
Professional Services Agreement and previously approved amendments, as follows:
A. LRE Water Additional Services (HHE Project No. 6950-22-07): Amend the engineering services
agreement for additional sub-consultant services with ISG / LRE to Observe the installation of the new
production well and observation well; analyze & evaluate all of the data collected. Conduct aquifer
pumping test; analyze & evaluate the test data. Prepare a report with collected data & analysis; include
an estimate yield of future welis & the wellfield. Conduct One (1) meeting to review the Report with the
City.
B. ISG Additional Piloting Services (HHE Project No. 6950-22-09): Amend the engineering services
agreement for additional sub-consuitant services with ISG to assist the City in calcufations and sizing of
the City's pilot system. Conduct one (1) site visit to observe the City's pilot set-up. Prepare and submit
pilot protocol to the lowa DNR for approval of the City's pilot set-up. Prepare the final pilot report
complete with collected data, analysis, & fuil-scale recommendations for submittal to the lowa DNR.
Conduct two (2) meetings to review the pilot protocol & pilot report with the City.
SERVICE AMOUNT
A. LRE WaterAdditional Services HHE Pro'ect No. 6950-22-07 $60,000.00
B. ISG Additional Pilotin Services (HHE Pro'ect No. 6950-22-09 $40,000.00
Total Additional Services $100,000.00
Total Amendment $100,000.00
The OWNER and the ENGINEER agree to amend the compensation paid to the ENGINEER for providing the
scope of services as shown in the original agreement, and previously approved amendments, as follows:
Original Agreement = $295,000.00
Amendment No. 1 = $100,000.00
($159,000.00 for 6950-22-07 / $136,000.00 for 6950-22-09)
($60,000.00 for 6950-22-07 / $40,000.00 for 6950-22-09)
Revised Agreement =$395,000.00 ($219,000.00 for 6950-22-07 /$176,000.00 for 6950-22-09)
This Amendment is subject to all the terms and conditions of the original Professional Services Agreement.
Upon execution of this amendment, this document shall become part of the original Professional Services
Agreement as if bound therein.
