A RESOLUTION APPROVING AN ADDENDUM TO
AGREEMENT NO. 2019-4-048A
WHEREAS, the City of Fairfax has some roadways within the coiporate city liinits
that the City of Fairfax, the State of Iowa, and Linn County share in the maintenance and
repair cost; and
WHEREAS, the Iowa Departinent of Transportation has drafted an Addenduin to
Agreement No. 2019-4-048A that lists maintenance i•esponsibilities of the IDOT and the
City of Fairfax.
NOW, THEREFORE, BE IT RESOLVED, in accord with provisions of Chapter
28E, 306, 306A, and 313.4 of the Code of Iowa and 761 Iowa Administrative Code Chapter
150 as applicable, the City of Fairfax and the Iowa Depat`tment of Transportation enter into
the attached Addenduin to Agreeinent No. 2019-4-048A.
BE IT FURTHER R�SOLVED, by the Fairfax City Council that the Mayor is
hereby authorized to sign the attached Addenduin to Agreement No. 2019-4-048A.
SE IT FURTHER RESOLVED, by the Fairfax City Council of the City of
Fairfax, Iowa, that the Mayor and City Clerk/Treasurer are hereby authorized and directed
to execute said Resolution.

into by and between the lowa Department of Transportation, hereinafter
Fairfax, lowa, a Locai Public Agency, hereafter designated the "LPA" in
Chapters 28E, 306, 306A and 313.4 and 761 lowa Administrative Code
The DOT proposes to establish or make improvements to U.S. 151 within Linn County, lowa; and
The DOT and the LPA are willing to jointly participate in said project, in the manner hereinafter provided;
and
The DOT and the LPA previously entered into the foilowing agreement(s) for the above referenced project:
Agreement No. 2019-4-048 for bridge replacements was executed by the DOT and LPA on March 11, 2019,
and February 19, 2019, respectively; and
Subsequent to execution of the above referenced Agreement it was determined that it was necessary to
clarify maintenance responsibilities of the DOT and the LPA.
This Addendum reflects the current concept of this project which is subject to modification by mutuai
agreement between the LPA and the DOT; and
Now, therefore, it is agreed as follows:
1. The DOT will be responsible for structural maintenance and repairs of the three mechanically
stabilized earth (See Exhibit A) and one cast-in-place concrete (See Exhibit B) retaining walls that
support the US 151 roadway embankment between Church Street and Prairie Creek. Routine
maintenance, such as cleaning or removai of graffiti, shall be the responsibility of the LPA.
2. The DOT will be responsible for structurai maintenance and repairs of the pedestrian trail that is
part of the bridges constructed over the Union Pacific railroad, over Prairie Creek, and over
Drainage Ditch #1. Routine maintenance, such as removal of snow and debris, shall be the
responsibility of the LPA.
General Provisions
1. If the LPA has completed a Flood Insurance Study (FIS) for an area which is affected by the proposed
Primary Highway project and the FIS is modified, amended or revised in an area affected by the project
after the date of this Agreement, the LPA shail promptly provide notice of the modification, amendment
or revision to the DOT. If the LPA does not have a detailed Flood Insurance Study (FIS) for an area

which is affected by the proposed Primary Highway project and the LPA does adopt an FIS in an area
affected by the project after the date of this Agreement, the LPA shall promptly provide notice of the
FIS to the DOT.
2. The LPA will comply with all provisions of the equal employment opportunity requirements prohibiting
discrimination and requiring affirmative action to assure equal employment opportunity as required by
lowa Code Chapter 216. No person wili, on the grounds of age, race, creed, color, sex, sexual
orientation, gender identity, national origin, religion, pregnancy, or disability, be excluded from
participation in, be denied the benefits of, or be otherwise subjected to discrimination under any
program or activity for which State funds are used.
3. It is the intent of both (all) parties that no third party beneficiaries be created by this Addendum.
4. If any section, provision, or part of this Addendum shall be found to be invalid or unconstitutional, such
finding shall not affect the validity of the Addendum as a whole or any section, provision, or part thereof
not found to be invalid or unconstitutional, except to the extent that the original intent of the Addendum
cannot be fulfilled.
5. All previously executed agreement(s) and or addendum(s) will remain in effect except as amended
herein.
6. This Addendum may be executed in (two) counterparts, each of which so executed will be deemed to
be an original.
7. This Addendum, as well as the unaffected provisions of any previous agreement(s), addendum(s),
and/or amendment(s); represents the entire Agreement between the LPA and DOT regarding this
project. All previously executed agreements wili remain in effect except as amended herein. Any
subsequent change or modification to the terms of this Agreement will be in the form of a duly executed
amendment to this document.
