RESOLUTION AUTHORIZING AN AMENDMENT TO THE
PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF
FAIRFAX AND HALL & HALL ENGINEERS, INC.
WHEREAS, the City Council of Fairfax, Iowa has a previously approved a Professional
Services Agreement (Resolution No. 2022-23) with Hall & Hall Engineers, Inc. to provide site
surveying, civil design engineering, public bidding, and construction engineering services for
the public water main extension under the Union Pacific railroad tracks and under Prairie Creek;
and
WHEREAS, Hall & Hall Engineers, Inc. has submitted an Amendment to the
Professional Services Agreement to provide additional optional geotechnical engineering
services for the water main crossings at the Union Paciiic railroad tracks and at Prairie Creek.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Fairfax,
Iowa, to enter into this Amendment of the Professional Services Agreement with Hall & Hall
Engineers, Inc. as attached.
BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of Fairfax,
Iowa, that the Mayor and City Clerk/Treasurer are hereby authorized and directed to execute
both this resolution and the amended Professional Services Agreement.

2022 Water Main Exiension Projecl — Fairfax, lowa
This Amendment made on the 13th day of September, 2022 between the City of FairFax (hereinafter referred to as
"OWNER") and Hall and Hall Engineers, Inc. (hereinafter referred to as "ENGINEER").
The OWNER and the ENGINEER agree to amend the scope of services as indicated in the originai Professional Services
Agreement and previously approved amendments, as follows:
The OWNER and the ENGINEER agree to amend the compensation paid to the ENGINEER for providing the scope of
services as shown in the originai agreement, and previously approved amendments, as follows:
Original Agreement = $129,000.00
Amendment No. 1 = $15,205.00
Revised Agreement = $144,205.00
This Amendment is subject to all the terms and conditions of the original Professionai Services Agreement. Upon execution
of this amendmertt, this document shall become part of the original Professional Services Agreement as if bound therein.
