HomeMy WebLinkAboutRESOLUTION NO. 02-10-01-2 RESOLUTION NO. 02-10-01-2 CITY COUNCIL RESOLUTION APPROVING AND MAKING AWARD OF CONTRACT 2002 IRON FILTER PLANT IMPROVEMENTS BE IT RESOLVED BY THI" CITY COUNCIL OF THE CITY OF FAIRFAX, IOWA, that the bid of Sevig Construction Co. of Walford, Iowa in the amount of$75,737.00 for the construction of the 2002 Iron Filter Plant improvements, described in the pians and specifications heretofore adopted by this Council after public hearing, be and is hereby accepted, as the lowest responsible bid received, and a contract is hereby awarded. The contractor is hereby instructed to promptly execute the construction contract and return the same to the Mayor along with all the SUPporting documents required therein, including surety bond covering, the work to be performed and proof of satisfactory insurance coverage. That the Mayor, with the assistance of the City Engineer is therefore directed to examine the contract for proper execution and all supporting documents, including surety bond and proof of insurance coverage to determine satisfactory complience with contract specifications. If all documents are in order, the Mayor shall approve the same in writing and place written approval on file in the office of the City Clerk, That the Mayor and City Clerk are hereby authorized and directed to execute the contract for and on behalf of the City and upon execution the contract shall be in full force and effect. Bidder has correlated the information known to Budder, information and observations obtained from visits to the Site, reports and Drawings identified in the Bidding Documents, and all additional examinations, investigations, explorations, tests, studies, and data with the Bidding Documents. I. Bidder has given (ENGINEER written notice of all conflicts, errors, ambiguities, or discrepancies that (Bidder has discovered in the Bidding Documents, and the written resolution thereof by ENGINEER is acceptable to Bidder. J. The Bidding Documents are generally sufficient to indicate and convey understandings of all terms and condllitions for the performance of the Work for which this Bid is submitted, K. Bidder has received and is familiar with: (i) Cedar Rapids Metropolitan Area Standard Specifications for Public Improvements, latest edition. Representing 00410=Attachment Il°_2 April 1,2000 00500 AGREEMENT 2002 IRON FILTER PLANT AT WELL NUMBER 3 THE CITY OF FAIRFAX, IOWA THIS AGREEMENT is by and between City of Fairfax, Iowa (hereinafter called OWNER) and Sevig Construction Co. (hereinafter called CONTRACTOR); OWNER and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows: ARTICLE 1 -THE PROJECT 1.01 The Project for which the"Fork under the Contract Documents may be the whole or only a part is generally referred to as follows: 2002 Iron Filter Plant at Well Number 3 ARTICLE 2 -WORK 2'.01 CONTRACTOR shall complete all Work as specified or indicated in the Contract Documents. The Work is generally described as follows: The construction of a twenty four foot wide by forty three foot long building, installation of seven forty two inch diameter iron filters, one aeration tank, one de-aeration tank, and plumbing, wiring sanitary sewer and other work necessary to complete the project. ARTICLE 3 -ENGINEER 3.01 The Project will be administered by Hall & Hall Engineers, Inc. who is hereinafter called ENGINEER and who is to act as OWNER's representative, assume all duties and responsibilities, and have the rights and authority assigned to ENGINEER in the Contract Documents in connection with the completion of the Work in accordance with the Contract Documents. ARTICLE 4 -CONTRACT TIMES 4.01 Time of the Essence A. All time limits for Milestones, if any, and completion and readiness for final payment as stated in the Contract Documents are of the essence of the Contract. B. The start date is October 14, 2002. 4.02 Dates for Completion and Final Payment A. The Work will be completed and ready for final payment in accordance with paragraph 14.07 of the General Conditions on or before January 31, 2003. 00500-1 January 26, 2001 4.03 Dates for Milestones A. In addition to final completion times, there are Milestones by which certain WORK ITEMS must be completed. See General Conditions for Milestone requirements: MILESTONE 1: None 4..04 Liquidated Damages A. CONTRACTOR and OWNER recognize that time is of the essence of this Agreement and that OWNER will suffer financial loss if the Work is not completed within the times specified in paragraph 4.02 above, plus any extensions thereof allowed in accordance with Article 12 of the General Conditions. The parties also recognize the delays, expense, and difficulties involved in proving in a legal or arbitration proceeding the actual loss suffered by OWNER if the Work is not completed on time. Accordingly, instead of requiring any such proof, OWNER and CONTRACTOR agree that as liquidated damages for delay(but not as a penalty), CONTRACTOR shall pay OWNER$200 for each day that expires after the time specified in paragraph 4.02 until l the Work is complete and readyfor final payment. ARTICLE 5 - CONTRACT PRICE' 5.01 OWNER shall pay CONTRACTOR for completion of the Work in accordance with the Contract Documents an amount in current funds equal to the sum of the amounts determined pursuant to paragraphs below: A. For all Unit Price Work, an amount equal to the sum of the established unit price for each separately identified item of Unit Price Work times the estimated quantity of that item as indicated in Exhibit 00500-A. ARTICLE 6 - PAYMENT PROCEDURES 6..01 Submittal and Processing oP`Payments A. CONTRACTOR shall submit monthly Pay quantities by the 4th Friday of the same month and sign-off on OWNER generated pay application within 14 calendar days of 4th Friday of month in accordance with Article f4 of the General Conditions. Applications for Payment will be processed by ENGINEER as provided in the General Conditions, 6.02 Progress Payments;Retainage A. OWNER shall make progress payments on account of the Contract Price on the basis of CONTRACTOR's Applications for Payment on or about the 25th day of each month (or net 30 days if payment application received after the 5►h day of the month) during performance of the Work as provided in paragraphs 6,02,A.1 and 6.02.A,2 below. All such payments will be measured by the schedule of values established in paragraph 2.07,A of the General Conditions (and in the case of Unit Price Work based on the number of units completed) or, in the event there is no schedule of values, as provided in the General Requirements: 00500-2 January 26, 2001 -77 I. Prior to Project Completion, progress payments will be made in an amount equal to the percentage indicated below but, in each case, less the aggregate of payments previously made and less such amounts as ENGINEER may determine or OWNER may withhold, in accordance with paragraph 14.02 of the General) Conditions: a. 95% of Work completed (with the balance being retainage). If the Work has been 95% completed as determined by ENGINEER, and if the character and progress of the Work_ have been satisfactory to OWNER and ENGINEER, OWNER, on recommendation of ENGINEER, may determine that as long as the character and progress of the Work remain satisfactory to them, there will be no- retainage on account of Work subsequently completed, in which case the remaining progress payments prior to Final Completion will be in an amount equal to 100% of the Work completed less the aggregate of payments previously made; and b. 100% of cost of materials and equipment not incorporated in the Work (with the balance being retainage). 2. OWNER shall pay retainage to CONTRACTOR in accordance with paragraph 14.02.8.5 of the General Conditions. 6.03 Final Payment A. Upon final completion and acceptance of the Work in accordance with paragraph 14.07 of the General Conditions, OWNER shall pay the remainder of the Contract Price as recommended by ENGINEER as provided in said paragraph 14.07. ARTICLE 7—NOT USED ARTICLE 8 CONTRACTOR'S REPRESENTATIONS 8.01 In order to induce OWNER to enter into this Agreement CONTRACTOR makes the following representations: A. CONTRACTOR has examined and carefully studied the Contract Documents and the other related data identified in the Bidding Documents, B. CONTRACTOR has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost„ progress, and performance of the Work. C. CONTRACTOR is familiar with and is satisfied as to all federal, state, and local Laws and Regulations that may affect cost, progress, and performance of the Work. D. CONTRACTOR has carefully studied all: (1) reports of explorations and tests of subsurface conditions at or contiguous to the Site, if any, and all Drawings of physical conditions in or relating to existing surface or subsurface structures at or contiguous to the Site, if any, (except Underground Facilities) which have been identified in the Supplementary Conditions as provided in paragraph 4.02 of the General Conditions and (2) reports and Drawings of a Hazardous Environmental Condition, if any, at the Site which has been identified in the Supplementary Conditions as provided in paragraph 4.06 of the General Conditions. CONTRACTOR acknowledges that such reports and Drawings are not Contract Documents and may not be complete for CONTRACTOR's purposes.
