RESOLUTION APPROVING ONLINE PAYMENT OPTION THROUGH
FAIRFAX STATE SAVINGS BANK USING BILLPOINTE
WHEREAS, the City Council of Fairfax, Iowa wishes to provide its customers
with the opportunity to make online payments; and
WHEREAS, the Fairfax State Savings Bank is the financial institution where the
City of Fairfax has the utility payment account; and
WHEREAS, the Fairfax State Savings Bank has offered to provide the online
payment option free of charge to the City of Fairfax; and
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of
Fairfax, Iowa, that the City of Fairfax wishes to enter into a BillPointe Agreement with
Fairfax State Savings Bank:to allow the City's customers to make online payments; and
BE IT FURTHER RESOLVED, by the Fairfax City Council of the City of
Fairfax, Iowa, that the Mayor and City Clerk are hereby authorized and directed to certify
this resolution of approval and the Mayor and City Clerk are authorized to sign the
BillPointe Agreement with Fairfax State Savings Bank.

STATE SAVINGS BANK
This agreement dated August 1, 2010 is between Fairfax State Savings Bank ("Bank") and
the City of Fairfax ("Client") regarding the BillPointe ("Service") electronic payment
processing system.
Term: The effective date is the date set forth above and shall remain in effect for an initial
period of five (5) years. This agreement shall automatically be renewed for successive one
(1)year periods unless terminated by either party in writing at least one hundred eighty
(180) days prior to renewal.
Service: Payments will be processed by an interface from. Client's website to the Service
website and/or by an interface from the Bank's website to the Service website. Types of
payment transactions accepted will include: Visa, MasterCard and electronic check.
Payments shall be processed as instructed unless: (i) erroneous or incomplete information
is provided; (ii) customer does not agree to, or follow,the Terms and Conditions governing
use of the Service, and (iii) the Bank and/or Client,with or without cause, exercise their
right to withhold product offering to a specific bill payer. Bank reserves right to
"chargeback" to Client any payments received due to transactions effected with a lost,
stolen, counterfeit or misused form of payment, authenticating image or identification
number and/or any payment initiated by a Customer which is not completed due to a lack
of funds. Bank and Client agree to act with due diligence to keep secure bill payer personal,
private and confidential information. The Bank and Client agree to "hold harmless" one
another for any losses due to, errors and omissions resulting from employee or electronic
error. Further,both Bank and Client agree to resolve any such issues and/or errors in an
equitable and timely manner.
Fees: As of the date of the agreement,there will be no monthly recurring fees assessed to
the Client. The one-time implementation fee of$700.00 will be waived.
