recommondations in regard to Gillunds Final. Plat and the request
for drive in and on Park Property.
City Clerk instructed to get information from the Land, Water &
Conservation in regard to the Grant requirements that were set out
when Park was purchased.

The Council of the City met in regular session on the

and the roll was called showing the following members of the Council
present and absent:

Council Member CeIL ve.n introduced the resolution
hereinafter next set out and the said Council Member moved its
adoption, seconded by Council Member Svoboda ; and after due
consideration thereof by the Council, the Mayor put the question upon
the adoption of the said resolution and the roll being called, the
following named Council Members voted:

Whereupon, the Mayor, declared the said resolution duly adopted, as

RESOLUTION NO. 2488
To fix a date of meeting at which it is proposed to take action for the
issuance of $300,000 General Obligation Corporate Purpose Bonds
WHEREAS, the City of Fairfax, Iowa , proposes to issue $300 ,000
General Obligation Corporate Purpose Bonds (the "Bonds" ) , pursuant to
the provisions of Division III of Chapter 384 of the Code of Iowa for
the purpose of paying the cost of the construction of works and
facilities useful for the collection, treatment and disposal of sewage
and industrial wastes in a sanitary manner ; the construction of works
and facilities useful for the collection and ,disposal of surface waters
and streams; the construction, reconstruction, improvement, extension
and equipping of the Municipal Waterworks System of the City; and the
refunding of warrants issued by the City to, pay costs in connection
with the aforementioned improvements, and it is necessary to fix a date
of meeting of the Council at which it is proposed to take acItion for
the issuance of the Bonds and to give notice thereof as required by
such law;
NOW, THEREFORE, It Is Resolved by the Council of the City of
Fairfax, Iowa, as follows.
Section 1. This Council shall meet on the 3rd day of
March 1988 , at the in
the City, at e.ve-n; 1 o+ clock ___Lr�L m. , at which time and place
proceedings will be instituted and action taken for the issuance of the
Bonds.
Section 2. The City Clerk is hereby directed to give notice of
the proposed action for the issuance of the Bonds setting forth the
amount and purpose thereof, the time when and place where the said
meeting will be held, by publication at least once, and not less than
four nor more than twenty days before the meeting, in a legal newspaper
printed wholly in the English language, published at least once weekly,
and of general circulation in the City. The notice shall be in
substantially the following form:

The City Council of the City of Fairfax, Iowa, will meet on the

Olbligation Corporate Purpose Bonds for the purpose of paying the cost

objections from any resident or property owner of the City.

resolution for the award of $300 ,000 General Obligation Corporate
Purpose Bonds; that the Council meet at the said time and place for
such purpose and that the. Clerk be authorized and directed to publish
notice of the said sale in substantially the form hereinafter set out,
as provided by Chapter 75 of the Code of Iowa. The Mayor put the

NOTICE OF SALE OF BONDS
Sealed bids will be received by the City of Fairfax, Iowa , until. [
)o ' clock .m. on the 3rd day of March 1988 , at the
Fairfax, Iowa, for the purchase of $300 ,000
General Obligation Corporate Purpose Bonds of the City, at which time
they will be presented to the Council at its meeting to be then held at
the , Fairfax, Iowa, and after the receipt
of open bids the Bonds will be sold to the best bidder for cash.
The Bonds will be dated March 1, 1988, in the denomination of
$5, 000 each, or any integral multiple thereof, bear interest payable
December 1, 1988 , and semiannually thereafter on the first day of June
and December in each year and shall mature on June 1 in each of the
respective years and in the principal amounts as follows :

but the right is reserved to the City to call and redeem all of the
said Bonds maturing in the years 1995 to 1998, inclusive, prior to
maturity, in whole or from time to time in part, in one or more units
of $5,000 , in inverse order of their maturity (and within a maturity by
lot) , upon terms of par and accrued interest on June 1, 1994 , or on any
interest payment date thereafter .
Bidders should specify the rate or rates of interest and amount of
premium or discount, if any, and all other conditions being equal, I
preference will be given to the bid which specifies the lowest net
interest cost to the City.
No bid calling for a discount of greater than 2% will be accepted.
There is no limit on the number of rates bid, but all principal
maturing on the same date must bear interest at the same rate. Each
interest rate specified must be in a multiple of 1/8 or 1/20 of 1%.
The difference between the lowest and highest interest rate bid shall
not exceed 3% per annum.
The City reserves the right to reject any or all bids and to waive
irregularities in any bid.
Printed Bonds in fully registered form and the approving opinion
of Belin Harris Helmick, Attorneys , Des Moines, Iowa, will be furnished
by the City. Unless the purchaser requests otherwise within 15 days
after the date of sale, the Bonds will be issued in $5 , 000
denominations, showing the purchaser as the registered owner thereof.

The Bonds will be delivered against full payment in cash or
immediately available funds at any City within the Continental United
States without expense to the purchaser .
The purchaser will be required to provide certain information
relating to the initial offering prices and sales of the Bonds
necessary to complete the Internal Revenue Service reporting forms
prior to closing.
Unless requested by the purchaser, the City will not apply for the
assignment of CUSIP numbers; additionally, the purchaser must agree in
his bid proposal to pay the cost, if such assignment is obtained, and
to waive any extension of delivery time due to the use of such numbers.
In no event will the City or its Bond Counsel be responsible for the
inability of the City to obtain such number assignment, or , if
obtained, the correctness of such numbers; and incorrect numbers on
said Bonds shall not be cause for the purchaser to refuse to accept
delivery of said Bonds .
The City Clerk will serve as Bond Registrar and Paying Agent for
the Bonds.
These Bonds are being issued pursuant to the provisions of
Division III of Chapter 384 of the Code of Iowa and will constitute
general obligations of the City, payable from taxes levied upon all the
taxable property in the City without limitation as to rate or amount.

RESOLUTION NO. �'
Resolution providing for the issuance of a Warrant in connection with
the construction of various sewer and water improvements
WHEREAS , the City of Fairfax, Iowa, has authority to issue
warrants for the purpose of defraying costs in connection with the
construction of various sewer and water improvements (hereinafter,
collectively referred to as the "Project" ) ; and
WHEREAS , to pay for authorized costs of the Project it is
necessary to issue a warrant in the amount of $ - e�4o _,
pursuant to the provisions of Section 384 . 57 of the Code of Iowa,
NOW, THEREFORE, It Is Resolved by the City Council of
Fairfax, Iowa , as follows:
Section 1 . The Clerk is authorized and directed to issue a
warrant (the "Warrant" ) , as authorized by Section 384 .57 of the Code
of Iowa, to Fairfax State Savings Bank, Fairfax, Iowa (the "Bank" ) ,
in the aforementioned amount, to be drawn on any fund or funds from
which payment for such Project may be made, including but not limited
to, the proceeds of the sale of General Obligation Bonds. The Warrant
shall be signed by the Mayor and attested by the Clerk with the seal of
the City affixed, dated as of the date of its delivery to the Bank,
bear interest at the rate of

Section 2 . The Warrant shall be in substantially the form as
attached to this resolution and shall be payable as to principal and
interest in accordance with the terms set forth therein.
Section 3 . It is the intention of the City that interest on the
Warrant be and remain exempt from federal income taxes pursuant to the
appropriate provisions of the Internal Revenue Code of 1986 , as
amended, and the Treasury Regulations in effect with respect thereto
(all of the foregoing herein referred to as the "Internal Revenue
Code" ) . In furtherance thereof the City covenants to comply with the
provisions of the Internal Revenue Code as they may from time to time
be in effect or amended and further covenants to comply with applicable
future laws , regulations, published rulings and court decisions as may
be necessary to maintain the tax exempt status of the interest on the
Warrant. Any and all of the officers of the City are hereby
authorized and directed to take any and all actions as may be necessary
to comply with the covenants herein contained.
The City hereby designates the Warrant as a "Qualified Tax Exempt
Obligation" as that term is used in Section 265 ( b) ( 3 ) (B) of the
Internal Revenue Code .

to the City' s Warrant # 5 (the "Warrant" ) , presently being delivered

1. The City is issuing and delivering the Warrant simultaneously
with the delivery of this certificate.
2 . The Warrant is being issued for the purpose of paying costs in
connection with the construction of various sewer and water
improvements (hereinafter collectively referred to as the "Project" ) .

3 . The City has entered into contracts for engineering services ,
construction materials and construction contracts for the Project, and
the fees and costs to be paid thereunder are equal to at least 2 1/20
of the total cost of the Project.
4 . The work on the Project has begun and is expected to proceed
hereafter with due diligence to completion.
5 . At least 85 per cent of the proceeds of the Warrant will have
been expended for costs of the Project within three years from the date
of the Warrant.
6 . The amount received from the sale of the Warrant is $-27, 6ol. 80
(purchase price) , and. is necessary for and will be used to pay costs of
the Project. The outstanding aggregate principal amount of warrants ,
project notes, or other tax exempt obligations previously issued with
respect to the Project is $ 1801, 0
7 . The total cost of the Project is estimated to be approximately
$341 , 270 . i
8 . To our best knowledge and belief, there are no facts ,
estimates or circumstances which would materially change the foregoing I
conclusions .
9 . On the basis of the foregoing , it is not expected that the
proceeds of the Warrant will be used in a wanner that would cause the
Warrant to be an "arbitrage bond" under Section 148 of the Internal
Revenue Code of 1986, as amended, and the regulations promulgated under
that section or any predecessor section.
